The Madisonville City Council met in a regular council meeting on February 12, 2018 at 6:00 p.m. at 210 W. Cottonwood, Madisonville, Texas

Meeting called to order at 6:00 p.m.

I. Mayor Bill Parten called the meeting to order at 6:00 p.m.
II. Invocation was given by Council member Dale Kovacs
III. Mayor Pro Tem Russell Bailey led the Pledge of Allegiance to the American Flag and the Texas Flag with Mayor Bill Parten and City
Council, staff members and visitors
IV. VISITORS FORUM (3 MINUTES) Camilla Viator, City Manager introduce Krystal Carroll as the Finance Director
V. CONSENT AGENDA

All consent agenda items are considered to be routine by the City Council and will be enacted by a motion. There will be no separate discussion on these items unless a Council Member so request, in which event the item will be removed from the Consent Agenda and considered in its normal position on the agenda.

(a.) Approval of the minutes as written for February 12, 2018 and February 26, 2018
Mayor Pro Tem Russell Bailey moved to approve the minutes as written. Seconded by Council member Jerry Harper with each Council member voting AYE motion carried
(b.) Approval of Accounts Payable as written for the previous month
Mayor Pro Tem Russell Bailey moved to approve the Accounts Payable as written. Seconded by Council member Chris McGilbra with each Council member voting AYE motion carried
(c.) Discuss and possible approval on a land lease with The Brazos Valley Council of Government for a Fiber Optic Hut
Michael Parks, deputy director from The Brazos Valley Council of Government spoke to the City Council about the fiber optic hut 20 year Agreement.
Council member Jerry Harper moved to approve on a land lease with the Brazos Valley Council of Government. Seconded
by Council member Dale Kovacs with each Council member voting AYE motion carried
(d.) Discuss and possible approval on a Resolution 91-2018 Authorizing continued participation with the Atmos Cities Steering Committee; and authorizing the payment of two cents per Capita to the Atmos Cities Steering Committee to fund regulatory and related activities related to Atmos Energy Corporation
Council member Dale Kovacs moved to approve a Resolution 91-2018 authorizing continued participation with the Atmos Cities Steering Committee; and authorizing the payment of two cents per Capita to the Atmos Cities Steering Committee to fund regulatory and related activities related to Atmos Energy Corporation. Seconded by Council member Lois Brown with each Council member voting AYE motion carried
(e.) Discuss and possible approval on an Ordinance 807 of the City Council of the City of Madisonville, Texas, approving a tariff authorizing an annual rate review mechanism (“RRM”) as a substitution for the Annual interim rate adjustment process defined by section 104.301 of the Texas utilities code, and as negotiated between Atmos Energy Corp., Mid-Tex Division (“Atmos
Mid-tex” or “Company”) and the Steering Committee of Cities served by Atmos; requiring the company to reimburse Cities’ reasonable ratemaking expenses; adopting a savings clause; determining that this ordinance was assesed in accordance with the requirements of the open meetings act; declaring an effective date; and requiring delivery of this ordinance to the company and legal counsel for the steering committee. Chace Murphy from Atmos Energy spoke briefly to the Council about the annual rate review mechanism and the steering committee of cities served by Atmos.
Mayor Pro Tem Russell Bailey moved to approve ordinance 807 authorizing an annual rate review mechanism. Seconded by Council member Lois Brown with each Council member voting AYE motion Carried
(f.) Presentation by U.S Capital Advisers LLC, Financial adviser to the City as to Tax & Revenue Certificates of Obligation, Series 2018 (the “Certificates”) Julie Peterson briefly explain to the Council about the Certificate of Obligation
(g.) Consideration and possible action to award sale of Certificate to selected winning bidder under terms and conditions approved by the City First National Bank of Huntsville was selected as the winning bidder.
Council member Jerry Harper moved to approve this selection as the winning bidder. Seconded by Council member Lois Brown with each Council member voting AYE motion carried
(h.) Consideration and possible action to approve an Ordinance 806 authorizing the issuance of “City of Madisonville, Texas, Tax & Revenue Certificates of obligation, series 2018”; Specifying the terms and features of said certificates; providing for the payment of said certificates of obligation by the levy of an ad valorem tax upon all taxable property within the City; and pledge of certain net revenues from the operation of the City’s waterworks and sewer system; and Resolving other matters incident and relating to the issuance, payment, security , sale and delivery of said certificates, including the approval and execution of a paying agent/registrar
agreement and a certificate placement agreement; and providing an effective date
Mayor Pro Tem Russell Bailey moved to approve Ordinance 806 authorizing the Issuance of “City of Madisonville, Texas, Tax & Revenue Certificates of Obligation”. Seconded by Council member Jerry Harper, with each Council member voting AYE motion carried
(i.) Consideration and possible action to approve certificate Placement Agreement and Investment Letter as to sale of Certificates
Mayor Pro Tem Russell Bailey moved to approve certificate Placement Agreement and investment letter as to sale of Certificates. Seconded by Council member Dale Kovacs with each Council member AYE motion carried
(j.) Consideration and possible action to authorize Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the Certificates and authorizing said Mayor, Mayor Pro Tem, City Secretary City Manager and/or other City officials to take such action as may be necessary for the issuance and sale of said Certificates
Council member Dale Kovacs moved to authorize Mayor, Mayor Pro Tem, City Secretary, City manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the certificates and authorizing to take such action as may be necessary for the issuance and sale of said certificates. Seconded by Council member Lois Brown with each Council member voting AYE motion carried.
(k.) Consider and possible adoption of Citizen Participation Plan in Conjunction with the 2016 Disaster Recovery General Land Office
Application
Council member Lois Brown moved to approve the adoption of Citizen Participation Plan in Conjunction with the 2016 Disaster Recovery General Land Office Application. Seconded by Mayor Pro Tem Russell Bailey with each Council member voting AYE motion carried
