Public Hearing Meeting March 15, 2021

MINUTES

The Madisonville City Council met in a Special called meeting on March 15, 2021 at 6:00 P.M. at 210 W. Cottonwood, Madisonville, Texas

Meeting called to order at 6:00p.m.

Meeting called to order with the following members present:

William (Bill) Parten-Mayor

Chris McGilbra-Council Member

Brady Taylor-Council Member

Camilla Viator- City Manager

Rosa Barrera-City Secretary

I. Mayor William (Bill) Parten called the meeting to order at 6:00 p.m.

II. Invocation was given by Councilmember Jessie Jaenicke

III. City Manager, Camilla Viator led the Pledge of Allegiance to the American Flag and the Texas Flag with City Council and staff members.

IV. Visitors Forum-none

 V. CONSENT AGENDA

  • Discuss and possible approval Ordinance 842 authorizing the appointment of the Municipal Clerk as the Deputy City Secretary.

City Manager mentioned to the Council that this is one position that no one can sign documents while the City Secretary is out of the office. City Manager stated that they needed to appoint a Deputy City Secretary for this reason. Motion was made by Councilmember Jessie Jaenicke to approve Ordinance 842 authorizing the Municipal Clerk as the Deputy City Secretary. Seconded by Councilmember Chris McGilbra with each Councilmember voting AYE motion carried.

  • Presentation by U.S Capital Advisors LLC, financial advisor to the city as to Tax & Revenue Certificates of Obligation, Series 2021 (the “certificates”)

Ben Rosenberg, Financial Advisor briefly explain to the City Council the Certificates of Obligation, Series 2021.

  • Consideration and possible action to approve Ordinance 843 authorizing the issuance of “City of Madisonville, Texas, Tax & Revenue Certificates of Obligation, series 2021”; specifying the terms and features of said certificates; providing for the payment of said certificates of obligation by the levy of an ad valorem tax upon all taxable property within the city; and a pledge of certain net revenues from the operation of the city’s waterworks and sewer system; and resolving other matters incident and relating to the issuance, payment, security, sale and delivery of said certificates, including the approval and execution of a paying agent/registrar agreement and authorizing a private placement memorandum and distribution thereof; and providing an effective date.

Guy Goodsen, briefly spoke to the City Council about Ordinance 843 specifying the terms and features of certificates of Obligation series 2021. Councilmember Jessie Jaenicke moved to approv Ordinance 843 authoring the issuance of “City of Madisonville, Texas, Tax & Revenue Certificates of Obligation, series 2021”; pfoviding for the payment of said certificates of obligation by the levy of an ad valorem tax upon all taxable property within the city; and a pledge of certain net revenues from the operation of the city’s waterworks and sewer system; and resolving other matters incident and relating to the issuance, payment, securtiy, sale and delivery of said certificates, including the approval and execution of a paying agent/registrat agreement and authorizing a private placement memorandum and distribution thereof; and providing and effective date. Seconded by Councilmember Lois Brown with each Councilmember voting AYE motion carried.

  • Consideration and possible action to adopt a Paying Agent/Registrar Agreement and an Escrow Agreement with BOKF, NA, Dallas, Texas.

Councilmember Jessie Jaenicke moved to adopt a Paying Agent/Registrar Agreement and an Escrow Agreement with BOKF, NA, Dallas, Texas. Seconded by Councilmember Chris McGilbra with each Councilmember voting AYE motion carried.

  • Consideration and possible action to authorize all accounts and funds necessary with the City’s depository or paying agent/registrar as may be required by the Texas Water Development Board Resolution 20-095 or as required by the Certificate Ordinance

Councilmember Lois Brown moved to authorize all accounts and funds necessary with the  City’s depository or paying agent/registrar as may be required by the Texas Water Development Board Resolution 20-095 or as required by the Certificate Ordinance. Seconded by Councilmember Brady Taylor with each Councilmember voting AYE motion carried.

  • Consideration and possible action to authorize Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the Certificates and authorizing said Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to take such action as may be necessary for the issuance and sale of said Certificates.

Councilmember Jessie Jaenicke moved to authorize Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the Certificates and authorizing. Seconded by Councilmember Chris McGilbra with each Councilmember voting AYE motion carried.

  CLOSED EXECUTIVE SESSION: for possible action resulting from items discussed in

   executive session.

The City Council for the City of Madisonville reserves the right to

adjourn into executive session at any time during the course of this

meeting to discuss any of the matters listed above, as authorized by

Texas Government Code Sections 551.071 (Consultation with Attorney)

551.072 (Deliberations about Real Property), 551.073 (Deliberations

about Gifts and Donations), 551.074 (Personnel Matters), 551.076

(Deliberations about Security Devices) and 551.086 (Economic  

Development.)      

VI. ADJOURNMENT  

       Councilmember Jessie Jaenicke moved to adjourn the meeting at 6:22 p.m. Seconded by

       Councilmember Lois Brown with each Councilmember voting AYE motion carried
