The Madisonville City Council met in a Special called meeting on March 16, 2020 at 6:00 P.M. at 210 W. Cottonwood, Madisonville, Texas

I. Mayor William (Bill) Parten called the meeting to order at 6:00 p.m.
II. Invocation was given by Mayor Pro Tem Russell Bailey
III. Chief Gilbert led the Pledge of Allegiance to the American Flag and the Texas Flag with City Council and staff members.

V. CONSENT AGENDA
(A. ) Presentation by U.S. Capital Advisors LLC, financial advisor to the City as to Tax & Revenue Certificates of Obligation, Series 2020 (the Certificates”).
Ben Rosenberg, Financial Advisor briefly explains to the Council about the Certificates of Obligation, Series 2020.
(B.) Consideration and possible action to award sale of Certificates to selected winning bidder under terms and conditions approved by the City.
Guy Goodson, Legal Advisor briefly reviewed the four bids with City Council. Councilmember Jessie Jaenicke made the motion to approve JP Morgan Chase at 1.28% for 15 year bond. Seconded by Mayor Pro Tem Russell Bailey. with each Councilmember voting AYE motion carried.
(C.) Consideration and possible action to approve an Ordinance 831 authorizing the issuance of “City of Madisonville,Texas Tax & Revenue certificates of obligation series 2020”; Specifying the terms and features of said certificates; providing for the payment of said certificates of obligation by the levy of an AD Valorem tax upon all taxable property within the City; and a pledge of certain net revenues not to exceed $5,000.00 from the operation of the City’s waterworks and sewer system; and resolving other matters incident and relating to the issuance, payment, security, sale and delivery of said certificates, including the approval and execution of a paying Agent/Registrar agreement and a Certificate Placement Agreement; and providing an effective date.
Mayor Pro Tem Russell Bailey moved to approve Ordinance 831 authorizing the issuance of City of Madisonville Texas Tax & Revenue certificates of obligation series 2020. Seconded by Councilmember Jessie Jaenicke. With each Councilmember voting AYE motion carried.
(D.) Consideration and possible action to approve Certificate Placement Agreement and Investment Letter as to sale of Certificates.
Mayor Pro Tem Russell Bailey moved to approve Certificate Placement Agreement and Investment letter as to sale of Certificates. Seconded by Councilmember Jessie Jaenicke with each Councilmember voting AYE motion carried.
(E.) Consideration and possible action to authorize Mayor, Mayor Pro Tem, City Secretrary, City Manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the Certificates and authorizing said Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to take such action as may be necessary for the issuance and sale of said certificates.
Councilmember Lois Brown moved to authorize Mayor, Mayor Pro Tem, City Secretrary, City Manager and/or other City officials to execute and deliver such certificates, agreements, affidavits, notices and documents as may be necessary to proceed with the issuance and sale of the Certificates and authorizing said Mayor, Mayor Pro Tem, City Secretary, City Manager and/or other City officials to take such action as may be necessary for the issuance and sale of said Certificates. Seconded by Councilmember Jessie Jaenicke. With each Councilmember voting AYE motion carried.
(F.) Consideration and possible action to award the Police Department building construction contract as a preliminary award subject to a maximum amount of $958,558 to provide for value engineering of the project with the selected contractor and that award of the final contract and issuance of the notice to proceed be contingent on receipt of certificate of obligation procedes in the amount of $1,250,000.
Fred Patterson, from Patterson Architects mention to the City Council that the awarded contractor for the new police department is up to $658.558 based by Texas Source Contracting. He also mention that the construction should be able to begin before May. Councilmember Jessie Jaenicke moved to award the Police Department building contruction contract to a maximum amount of $6958,558 to provide for value engineering of the project with the selected contractor and that award of the final contract ans issuance of the notice to proceed be contingent on receipt of certificate of obligation procedes in the amount of $1,250,000. Seconded by Councilmember Lois Brown with each Councilmember voting AYE motion carried.
CLOSED EXECUTIVE SESSION: for possible action resulting from items discussed in executive session.
The City Council for the City of Madisonville reserves the right to adjourn into executive session at any time during the course of this meeting to discuss any of the matters listed above, as authorized by Texas Government Code Sections 551.071 (Consultation with Attorney) 551.072 (Deliberations about Real Property), 551.073 (Deliberations about Gifts and Donations), 551.074 (Personnel Matters), 551.076 (Deliberations about Security Devices) and 551.086 (Economic Development.)
